A Win98 upgrade disk will work and I believe WinMe will work as well.
And it should be a instore purchase. Some folks have had a problem getting the rebate printout after buying online with instore pickup. Some report success as well.
I ordered online with instore pickup, they would not give me the rebate, but I got home and opened the bag and they had given me XP Pro. So I got the rebate after all. : )

Also, Newegg has a OEM full version for $86 one day sale but as one reviewer said:
“Keep in mind with the OEM versions that as of March '05 you have to call and get an activation code from MS, they are no longer allowing WIN XP to be activated online for OEM versions.”

Just stick in ANY retail windows disc (95, 98, ME, 2K) at the upgrade prompt and the software will install.
